Courizon Partners LLC (“Courizon”, “our”, “we”, or “us”) provide and operate this website, https://www.courizonpartners.com, and all of its content, functionality, and services maintained by us (the “Sites”) for your use and access, subject to the following terms and conditions. These Terms of Service, as amended from time to time, and as incorporating the Courizon Privacy Policy (the “Terms of Service”) are a legal agreement between Courizon and you.

You must read and agree to these Terms of Service, including the Privacy Policy, before using the Sites. By using the Sites, you agree to these Terms of Service. If you do not agree to the Terms of Service, do not use or access the Sites.

You are responsible for regularly reviewing the Terms of Service, as the Terms of Service may be modified at any time. All such modifications will be effective immediately upon posting. If you are dissatisfied with any modification to the Terms of Service, your only remedy is to terminate your use of the Sites.

1. Eligibility

You must be at least 18 years of age to use the Sites. By using the Sites, you represent and warrant that

(a) You are 18 years of age or older; and

(b) Your use of the Sites does not violate any applicable law or regulation.

2. Use of Sites

Provided that you comply with these Terms of Service, Courizon grants you a limited, revocable, nonexclusive, nonassignable, nonsublicensable license and right to access the Sites, through a generally available web browser or mobile device, to view information and use the Sites offered by Courizon.

3. Access

Courizon reserves the right to terminate or suspend your access to the Sites or any of their features at any time, for any reason or no reason, with or without notice to you. You agree that Courizon shall not be liable for any loss or damage caused, directly or indirectly, by any such termination, suspension, change or discontinuance.

4. Ownership of Content

“Content” shall mean including, without limitation, data, images, drawings, photographs, video, audio, text, and any and all other material and information that you see on the Sites, whether provided by Courizon or by users. ALL USE OF CONTENT IS PROVIDED “AS IS” AND AT YOUR OWN RISK.

YOU ACKNOWLEDGE AND AGREE THAT ALL CONTENT IS THE PROPERTY OF COURIZON AND/OR ITS LICENSORS AND THAT YOU HAVE NO INTELLECTUAL PROPERTY RIGHTS OR OTHER RIGHTS IN ANY CONTENT, REGARDLESS OF WHETHER THAT CONTENT WAS PROVIDED BY COURIZON, YOU, OR ANOTHER USER.

You acknowledge that the Content and Sites are protected by copyrights, trademarks, and other proprietary rights owned by Courizon and/or its licensors, including rights to the selection, coordination, arrangement and enhancement of such Content, and that these rights are valid and protected in all media existing now or later developed. Except as expressly provided herein, Courizon and its licensors do not grant you any express or implied rights, and all right, title and interest that Courizon has in the Sites, that are not expressly granted by Courizon to you are retained by Courizon. No Content may be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted or sold in any form or by any means, in whole or in part, without Courizon’s prior written permission, except that the foregoing does not apply to your own posted submission.

You agree that you may not upload or otherwise transmit on or through the Sites Content that is subject to any third-party rights unless any holder of such rights has given express authorization for distribution on the Sites.

You agree that any Content You submit does not create an obligation for Courizon to provide you any payment or other remuneration. If and to the extent you are deemed to have retained, under applicable law, any right, title or interest in or to any portion of the Content, you hereby transfer, grant, convey, assign and relinquish exclusively to Courizon all of your right, title and interest in and to the Content, without reservation and without additional consideration, under applicable patent, copyright, trade secret, trademark and other similar laws or rights, in perpetuity, and in the alternative to the extent such assignment is ineffective under applicable law, you hereby grant to Courizon, the exclusive, irrevocable, sublicensable, transferable, worldwide, paid-up license to reproduce, fix, adapt, modify, translate, reformat, create derivative works from, manufacture, introduce into circulation, publish, distribute, sell, license, sublicense, transfer, rent, lease, transmit, publicly display, publicly perform, or provide access to electronically, broadcast, communicate to the public by telecommunication, display, perform, enter into computer memory, and use and practice the Content, all modified and derivative works thereof, all portions and copies thereof in any form, all inventions, designs, and marks embodied therein, and all patent, copyright, trade secret, trademark and other intellectual property rights thereto, and/or to incorporate the same in other works in any form, media, or technology now known or later developed. To the extent permitted by applicable laws, you hereby waive any moral rights you may have in the Content.

5. User Content.

You are responsible for any information, text, images, videos, or other materials or content that you post on the Sites or transmit through our sites (collectively, “User Content”). You must not transmit any User Content to or through the Sites or to Courizon through email that you consider to be confidential or proprietary, and any User Content shall be deemed non-confidential. You are responsible and liable for any User Content. You agree, represent and warrant that any User Content is:

(a) Truthful, accurate, and not misleading,

(b) Offered in good faith, and

Certain information submitted by you, or otherwise collected from you, is subject to Courizon’s Privacy Policy. Except as expressly provided in Courizon’s Privacy Policy, you agree that by submitting User Content to Courizon, including any concepts, know-how or ideas, you hereby grant Courizon a perpetual, worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of and display the User Content in connection with the Sites and Courizon’s (and its successor’s) business, including without limitation for promoting and redistributing part or all of the User Content (and derivative works thereof) in any media formats and through any media channels whether now known or hereafter developed, without payment or accounting to you or others.

6. Acceptable Use

Any use of the Sites in violation of these Terms of Service will be regarded as an infringement on Courizon’s copyright rights in and to the content.

You may not, under any circumstances, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, adapt, translate, transfer, buy, auction, rent, lease, loan or sell any Content, or other materials appearing in or generated by the Sites, or any information obtained from the Sites, without Courizon’s prior express written consent.

You may not, under any circumstances, exploit the Content or the Sites for any purpose whatsoever.

You may not, under any circumstances, use the Content or the Sites in any manner that is:

(a) Unlawful;

(b) That could damage, disable, overburden, or impair any Courizon server or the network(s) connected to any Courizon server;

(d) That gains or attempts to gain unauthorized access to the Sites, unpublished information or material, other users’ Accounts, or computer systems and/or networks connected to any Courizon server, or to any of the Services, through hacking, password mining or any other means;

(e) That collects or aggregates information regarding other users’ actions relating to the Services; or

(f) That reverse engineers, decompiles, disassembles or attempts to reverse engineer, decompile, or disassemble any part of the Content or Sites.

7. Copyright Policy

We respect the intellectual property rights of others. If you believe that your material has been copied in a way that constitutes copyright infringement, please provide us the following written information: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed upon; (iii) a description of where the material that you claim is infringing is located on the Site; (iv) your address, telephone number, and e-mail address; (v) a statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner of authorized to act on the copyright owner’s behalf. It is often difficult to determine if your intellectual property rights have been violated or if the Digital Millennium Copyright Act (“DMCA”) requirements have been met. We may request additional information before we remove any infringing material. If a dispute develops as to the correct owner of the rights in question, we reserve the right to remove or disable access to the allegedly infringing material pending resolution of the matter.

8. Communications

By providing your email address to Courizon and subscribing to Courizon communications, you understand you may receive periodic information regarding current and future services offered on the Sites and/or related third-party products. You may unsubscribe at any time by following the directions contained in each newsletter.

9. Privacy & Security

You understand that any information provided by you or collected by Courizon in connection with your use of the Sites will be used in the manner described in these Terms of Service and in Courizon’s Privacy Policy. If you do not agree to the Privacy Policy you must not use the Sites. Without limiting the terms of the Privacy Policy, You understand that Courizon does not guarantee that your use of the Sites and/or the information provided by you will be private or secure, and Courizon is not responsible or liable to you for any lack of privacy or security you may experience. You are fully responsible for taking precautions and providing security measures best suited for your situation and intended use of the Sites.

10. Jurisdictional Issues

The Sites are controlled and operated by Courizon from its offices within the United States. Courizon makes no representation that Content and other materials available through the Sites are appropriate or available for use in any other locations. Those who choose to access the Sites from other locations do so on their own initiative and at their own risk, and are responsible for compliance with local laws, if and to the extent local laws are applicable.

11. Links to Third Party Sites

You may be able to link to third party websites (“Linked Sites”) from the Site. Linked Sites are not, however, reviewed, controlled or examined by us in any way and we are not responsible for the content, availability, advertising, products, information or use of user information or other materials of any such Linked Sites, or any additional links contained therein. These links do not imply our endorsement of or association with the Linked Sites. It is your sole responsibility to comply with the appropriate terms of service of the Linked Sites as well as with any other obligation under copyright, secrecy, defamation, decency, privacy, security and export laws related to the use of such Linked Sites and any content contained thereon. In no event shall we be liable, directly or indirectly, to anyone for any loss or damage arising from or occasioned by the creation or use of the Linked Sites or the information or material accessed through these Linked Sites. 12. Disclaimer of Warranty; Limitation of Liability

COURIZON AND EACH OF ITS AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, STOCKHOLDERS, EMPLOYEES, LICENSORS, DISTRIBUTORS, SUBLICENSES, AGENTS, OR SUBCONTRACTORS (COLLECTIVELY, THE “COURIZON PARTIES”) WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR RELATING TO THE USE OF OR THE INABILITY TO USE THE SITES, CONTENT, OR LINKS, INCLUDING BUT NOT LIMITED TO DAMAGES CAUSED BY OR RELATED TO ERRORS, OMISSIONS, INTERRUPTIONS, DEFECTS, OR DELAYS IN OPERATION OR TRANSMISSION. THE COURIZON PARTIES SHALL NOT HAVE ANY LIABILITY OR RESPONSIBILITY FOR ANY ACTS, OMISSIONS, OR CONDUCT OF ANY USER OR OTHER THIRD PARTY. THE COURIZON PARTIES WILL ALSO NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, EVEN IF THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FURTHERMORE, YOU EXPRESSLY AGREE THAT THE USE OF THE SITES IS AT YOUR SOLE RISK. THE SITES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS FOR YOUR USE, WITHOUT WARRANTIES (INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE) OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, UNLESS SUCH WARRANTIES OR CONDITIONS ARE LEGALLY INCAPABLE OF EXCLUSION.

COURIZON DOES NOT WARRANT THAT YOUR USE OF THE SITES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITES (OR ANY PART THEREOF INCLUDING THE CONTENT), THE SERVER(S) ON WHICH THE SITES ARE HOSTED OR CONTENT ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Indemnity

You agree to defend, indemnify and hold harmless Courizon and its directors, officers, employees, agents, shareholders, licensors, parent companies and representatives, from and against all claims, losses, costs and expenses (including without limitation reasonable attorneys’ fees) arising out of (a) your use of, or activities in connection with the Sites; (b) any violation of these Terms of Service by you, or (c) any allegation that any information, messages, or materials that you make available or create through the Sites infringe or otherwise violate the copyright, trademark, trade secret, privacy or other intellectual property or other rights of any third party.

14. Jurisdiction and Choice of Law

These Terms of Service, and any disputes arising from or relating to the conduct covered by the Terms of Service, are governed by the laws of the State of Delaware. You hereby submit to the exclusive jurisdiction, including waiving any objection to personal jurisdiction, of the Court of Chancery of the State of Delaware without regards to any principles of conflicts of laws and the United Nations Convention on Contracts for the International Sale of Goods. Those who choose to access the Sites from locations outside of Delaware do so on their own initiative contrary to the terms of these Terms of Service, and are responsible for compliance with local laws if and to the extent local laws are applicable.

15. Waiver

No waiver by either party of any breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default.

16. Notice

Notices to you may be made via posting to the Sites, by email, or by regular mail, in Courizon’s discretion. Courizon may also provide notices of changes to these Terms of Service or other matters by displaying such notices or by providing links to such notices on Courizon’s Sites. Without limitation, you agree that a printed version of these Terms of Service and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms of Service to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

17. Severability

If any part of these Terms of Service are determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms of Service shall continue in effect.

18. Complete Agreement

These Terms of Service, including the documents expressly incorporated by reference, constitute the entire agreement between you and Courizon with respect to its subject matter. These Terms of Service supersede all prior or contemporaneous communications, whether electronic, oral or written, between you and Courizon with respect to its subject matter and you represent that you have not relied on any such communications in accepting these Terms of Service.
